Welcome to zirolabs.ai (the "Site"), operated by ZiroLabs LLC, a Texas limited liability company doing business as ZiroLabs AI ("ZiroLabs," "we," "us," or "our"). These Website Terms of Use ("Terms") are a legal agreement between you and ZiroLabs that governs your access to and use of the Site. Please read them carefully. By using the Site, you agree to these Terms.

1. Acceptance of these Terms

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Site.

If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Who may use the Site

The Site is intended for adults. You must be at least 18 years old to use it. By using the Site, you represent and warrant that you are 18 or older and are legally able to enter into these Terms. The Site is not directed to children, and we do not knowingly collect information from anyone under 18 through the Site.

3. The Site is informational only

ZiroLabs is an AI-native healthcare and longevity company, and this Site exists to share information about who we are and what we build. Everything on the Site is provided for general informational and educational purposes only.

• Not medical advice. Content on the Site is not medical, clinical, diagnostic, or treatment advice, and should not be relied on as such. It is not a substitute for the judgment of a qualified healthcare professional.
• No doctor-patient relationship. Using the Site, reading its content, or contacting us through it does not create a doctor-patient, provider-patient, or any similar professional relationship. ZiroLabs does not draw blood, order or perform lab tests, operate a laboratory, employ clinicians, or provide telehealth through the Site.
• Consult a professional. Always seek the advice of your physician or another qualified health provider with any questions you may have about a medical condition, and never disregard or delay seeking professional advice because of something you read on the Site.
• Emergencies. If you think you may have a medical emergency, call 911 or your local emergency number, or go to the nearest emergency room immediately. Do not rely on the Site in an emergency.

4. Our products have their own terms

ZiroLabs offers products separately from this Site, including Cen10, our consumer iOS app available at cen10.ai. Cen10 and any future ZiroLabs products are governed by their own separate Terms of Use and Privacy Policies, not by these website Terms. If you use Cen10, your use is subject to the Cen10 Terms of Use and its privacy policy. In the event of a conflict, the product-specific terms control for that product.

5. Intellectual property

The Site and its contents, including text, graphics, images, page layouts, design, look and feel, logos, trademarks, service marks, and the "ZiroLabs," "Cen10," and related names and marks, are owned by ZiroLabs or its licensors and are protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you in these Terms are reserved by ZiroLabs and its licensors.

You may not use ZiroLabs' names, logos, or marks without our prior written permission, and nothing in these Terms grants you any right to do so.

6. Limited license to use the Site

Subject to your compliance with these Terms, ZiroLabs grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and view the Site for your own personal, non-commercial informational use. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the Site except as expressly permitted here or with our prior written consent. We may suspend or terminate this license at any time.

7. Acceptable use and prohibited conduct

When using the Site, you agree not to:

• Scrape, crawl, harvest, index, or use automated means to access or collect data from the Site except as permitted by our robots directives or with our written consent;
• Interfere with or disrupt the Site, its servers, or networks, or attempt to gain unauthorized access to any part of the Site or its systems;
• Introduce viruses, malware, or other harmful code, or take any action that imposes an unreasonable or disproportionate load on our infrastructure;
• Reverse engineer, decompile, or attempt to derive the source code or underlying structure of the Site, except to the extent this restriction is prohibited by applicable law;
• Infringe or misappropriate the intellectual property, privacy, or other rights of ZiroLabs or any third party;
• Use the Site for any unlawful, fraudulent, deceptive, or harmful purpose, or to transmit unsolicited or unauthorized advertising or communications;
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices; or
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

8. Third-party links and services

The Site may contain links to third-party websites, resources, or services that we do not own or control. We provide these links for convenience only, and their inclusion does not imply endorsement. We are not responsible for the content, products, policies, or practices of any third party, and your use of third-party sites and services is at your own risk and subject to their own terms and privacy policies.

9. Your submissions

The Site does not offer user accounts, and the only information you can submit through it is a message sent via our contact form. When you send us a message, you grant ZiroLabs a limited, non-exclusive, royalty-free license to use, store, and reproduce the contents of your message solely to respond to you and to operate, maintain, and improve the Site and our business, consistent with our Privacy Policy.

• Please do not send confidential or sensitive information, including detailed personal health information, through the contact form.
• Please do not send unsolicited business ideas, proposals, or creative materials. If you do, you agree that they are not confidential and that ZiroLabs is under no obligation of confidentiality and may use them without restriction or compensation to you.
• You represent that any message you send is your own, does not violate any law or third-party right, and does not contain anything unlawful, infringing, or harmful.

10. Disclaimers of warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ZIROLABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, ZiroLabs does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or harmful components, or that any information on the Site is accurate, complete, current, or reliable. Any reliance you place on the Site is at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZIROLABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ZIROLABS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED [ONE HUNDRED U.S. DOLLARS (US$100)]. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZiroLabs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your submissions, or your violation of these Terms or any applicable law or third-party right.

13. Dispute resolution and arbitration

Please read this section carefully, it affects your legal rights.

• Binding individual arbitration. Except as noted below, any dispute, claim, or controversy arising out of or relating to the Site or these Terms will be resolved by binding, individual arbitration administered by the American Arbitration Association (or another established arbitration provider we designate) under its then-current rules, seated in the State of Texas, rather than in court.
• Class-action waiver. You and ZiroLabs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
• Jury-trial waiver. You and ZiroLabs waive any right to a trial by jury for any claims covered by this section.
• 30-day opt-out. You may opt out of this arbitration agreement by sending written notice through our contact page within 30 days of first accepting these Terms, stating your name and your intent to opt out. Opting out will not affect any other part of these Terms.
• Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief to protect intellectual property or confidential information, without first proceeding to arbitration.

14. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, you and ZiroLabs consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Texas.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Site after changes take effect means you accept the revised Terms.

16. Miscellaneous

• Severability. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full effect.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
• Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and ZiroLabs regarding the Site and supersede any prior agreements on that subject.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Headings. Section headings are for convenience only and do not affect interpretation.
